Terms of Use of the TeachBot Website

Introduction

Welcome to the TeachBot website.

The purpose of this website is to introduce you to and allow you to work with the TeachBot interactive conversational based teaching solution and to work with TeachBot. These Terms and Conditions apply to your use of the TeachBot website in the event and to the extent that you have not entered into a separate agreement agreeing terms for accessing and using the TeachBot website or are not otherwise a permitted user of the TeachBot website. Save as aforesaid, by using the website you are automatically bound by these Terms and Conditions and, if you do not accept the Terms and Conditions, you should immediately stop using the website.

Elzware reserves the right to change or delete any of the content of the website, including these Terms and Conditions, at any time and without notice.

Subscription

Access to the Service (except for those parts that we make freely available) is only provided on condition that a Fee has been paid.

Home Study - A Fee is payable by you on an annual or monthly basis for each named individual who will use the Service. Your username and password are your access points to the Service, and are issued for the SOLE use of the named individuals for whom a Fee has been made. The Service can be accessed by the named individuals from any location.

Schools & all other users - A Fee is payable by you on an annual basis for each site where the Service is used. You are duly authorized to provide the Site username and password to teachers and students who are wholly connected to the Site, to use the username and password on that site only. Teachers will have full access to the site from any location.

An additional fee will be payable to enable students to access the Services from locations other than the main authorized site.

All Fees are exclusive of VAT which will be payable by you, if applicable and at the prevailing rate of VAT, in addition to the Fee.

We do not permit any part of the Service to be cached in proxy servers. If we reasonably believe that a user name and password are being used in any way which is not permitted by us, we reserve the right to issue a new username and password. We require you to change your password at least on an annual basis, failure to do so may result in an interruption to the service.

Your right to change your mind

All Users - You may be entitled to cancel your agreement with us as set out below. You are entitled to cancel your agreement with us at any time during the period of fourteen (14) days from when we notify you that you have entered into a contract with us.

If you are entitled to cancel your agreement with us, and you wish to exercise that right you must send us your notice by email to questions@teachbot.net or by first class post to the address given. If you validly exercise a right to cancel we will refund the Fee paid within 30 days.

Termination

We can terminate this agreement at any time on giving notice to you if you commit a breach of these terms and conditions:

You become bankrupt or enter into a voluntary arrangement with your creditors, become subject to an administration order, have a petition presented or an order made for you winding-up, have a receiver appointed over all or any part of your undertaking or assets, go into liquidation, cease or threaten to cease to trade or suffer any analogous event of insolvency.
You fail to pay the Fee when due
We reserve the right to terminate this agreement at any time and for any reason on giving notice to you. If we terminate your membership under this clause we will refund a proportion of the Fee relating to the remainder of the period for which you have paid (if any).

Proprietary Rights and Confidentiality

All intellectual property rights (including copyright, patents, trademarks, design rights, database rights and other rights) and goodwill in or relating to the contents of the website belong to Elzware or its licensors.

In particular, the trade marks displayed are or may be registered and nothing contained in these conditions or the website should be construed as granting by any means, any licence or right to use any of the trade marks without Elzware's permission.

Any rights not expressly granted herein are reserved. No part of this website may be reproduced or adapted in whole or in part without our express prior written consent other than under a non-transferable revocable (at Elzware's option) licence for your private non-commercial viewing purposes to the extent necessary to view the website unless other licence terms have been made be available prior to downloading any software or documents (in whatever form). Downloading may only take place if you agree to the terms of the relevant licence. All copyright and other proprietary notices contained in the original materials must be retained on any copies of the materials.

Those parts of the TeachBot website which you may view only through access controls granted to you by Elzware may contain information which is not in the public domain and is confidential and of commercial value to Elzware. The right of access to such information is personal to you and you are not permitted to disclose such information to third parties without the prior written consent of Elzware.

Liability

Information on this website is provided on an “as is” basis. Despite Elzware’s efforts, it may not be accurate, complete, up to date or applicable to the circumstances of any particular case. Furthermore, Elzware does not warrant or represent that this website, its content, downloaded material and any linked site will be uninterrupted or error free or are free of any type of virus or other harmful code or are compatible with any specific computer system or third party software.

ELZWARE MAKES NO REPRESENTATIONS AND DISCLAIMS ALL TERMS, CONDITIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION TERMS, CONDITIONS AND WARRANTIES OF SUITABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. ELZWARE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OR LOSS (INCLUDING BUT NOT LIMITED TO LOST PROFITS OR REVENUES, BUSINESS INTERRUPTION AND LOSS OR DAMAGE OF SOFTWARE OR DATA) WHETHER IN STATUTE, CONTRACT, NEGLIGENCE OR ANY OTHER TORT OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THIS WEBSITE OR ANY ACTION OR FAILURE TO ACT TAKEN IN RELIANCE ON THE INFORMATION IN IT OR ANY LINKED SITE.

The content of this section and its disclaimers and exclusions shall apply to the maximum extent permissible by applicable laws. If any part is unenforceable under applicable laws, the remainder shall still apply.

Privacy

The following privacy provisions apply to this website and your use of it.

User Information Requests. Users may send inquiries or request further information about Elzware and TeachBot through completing a contact or request form or sending an email message. Elzware collects information, including name, organisation, email address and the other information supplied through such contact or email. Elzware may use such information to respond to the inquiry, supply information about TeachBot, Elzware and its services to the user from time to time and maintain a record of the contact.

Internet Service Information. Elzware receives information that is automatically generated by your Internet service provider (ISP). This information may be collected for system administration purposes, to gather broad demographic information and to monitor the level of activity on the site. Elzware reserves the right to link IP addresses and other information supplied by the ISP to personally identifiable information in order to protect the integrity of Elzware's systems, for security purposes and as may otherwise be required by law.

Information Sharing. Elzware exercises commercially reasonable care not to share or disclose the names of users or any personally identifiable information with third parties, except with the prior approval of the user. Elzware may, however, disclose personally identifiable information in response to a witness order, subpoena, court order or legal process, to the extent permitted and required by law or in connection with a sale, joint venture or other transfer of some or all of the assets of Elzware.

We will request certain personal information from you (or if you are an institution, from your employees) in order to provide the Service to you. You are responsible for the accuracy and truthfulness of such information and you warrant and undertake to us that all such information is true and correct. We reserve the right to request supporting documentation to verify personal information in our absolute discretion.

We may use a technology called "cookies" as part of our normal business procedure to track patterns of behaviour of visitors to the Website. A cookie is an element of data that the Website sends to your browser that is then stored on your system. You can set your browser to prevent this happening. Any information collected in this way can be used to identify you unless you change your browser settings.

Child Supervision

We are concerned about the safety and privacy of our users, particularly children. Teachers/ parents who wish to allow their children access to and use of the Website/Services should supervise such access and use. By allowing your child access to the Services you are allowing your child access to all of the Services. It is therefore your responsibility to determine which Services are appropriate for your child. Always use caution when revealing personally identifiable information about yourself or your children via any of the Services.

Linkages

You may include a link to the Home Page of the TeachBot website in your own website or in an electronic communication. Except as aforesaid, framing and linking to the TeachBot website in any circumstance without Elzware’s express prior written permission is prohibited.

If you use the links in this website to access other websites, please be aware that the linked sites are not under Elzware’s control and Elzware is not responsible for and does not endorse their contents. Other terms and conditions may also apply to the access to and use of third party sites.

Law and Jurisdiction

The interpretation, construction, effect and enforceability of these Terms and Conditions shall be governed by English Law, and you and Elzware agree to submit to the exclusive jurisdiction of the English courts for the determination of any disputes.
